About the Role
The Company Secretarial Executive is responsible for supporting corporate governance and compliance activities. This includes preparing board resolutions, maintaining statutory records, filing documents with regulatory authorities, and ensuring adherence to relevant laws and regulations. The role requires attention to detail, confidentiality, and strong organizational skills.
Responsibilities
Compliance Management: Oversee all aspects of legal and regulatory compliance for the company, ensuring adherence to the Companies Act, relevant securities laws, and other applicable regulations.
Corporate Governance: Develop and implement effective corporate governance policies and procedures specific to the Malaysian context, ensuring compliance with the Malaysian Code on Corporate Governance and other relevant guidelines.
Board Support: Coordinate board meetings in accordance with the Companies Act and the company's constitution, prepare agendas, collate and distribute meeting materials, record minutes in compliance with statutory requirements, and ensure timely follow-up on action items.
Shareholder Relations: Manage relationships with shareholders, including organizing and administering annual general meetings, responding to shareholder queries, and facilitating the issuance and transfer of shares in compliance with the Companies Act.
Statutory Obligations: Ensure timely filing of statutory returns required by the Companies Commission of Malaysia (SSM), such as annual returns, changes in directorship, and share capital updates.
Legal Documentation: Draft, review, and maintain legal documents specific to Malaysian corporate law, including contracts, resolutions, powers of attorney, and other legal agreements.
Corporate Records: Maintain accurate and up-to-date corporate records in compliance with the Companies Act, including the company's register of members, register of directors, and other statutory registers required by the SSM.
Liaison with External Parties: Act as the primary point of contact for external legal counsel, the SSM, auditors, and other relevant stakeholders, ensuring effective communication and compliance with local regulations.
Requirements
Bachelor's degree in Law, Business Administration, or a related field. A legal qualification will be an added advantage.
In-depth knowledge of the Companies Act and other relevant laws, regulations, and guidelines applicable to companies in Malaysia.
Excellent organizational skills and attention to detail, with the ability to manage multiple tasks and meet deadlines.
Effective communication and interpersonal skills, with the ability to interact confidently with senior management, board members, and external stakeholders in business environment.
Proficiency in using company secretarial software and Microsoft Office applications.
Strong analytical and problem-solving skills, with the ability to provide strategic advice and guidance on complex legal and compliance matters in the Malaysian context.
Demonstrated integrity and ethical conduct in handling sensitive and confidential information.
Familiarity with the requirements of the SSM and other regulatory bodies in Malaysia.
